What Should You Prepare?

1. Business objectives. Explain your purposes to us so we can identify the requirements.
2. Shareholders. You need at least two shareholders, who can be individuals or corporations.
3. Paid-up capital. The minimum requirement is Rp10.000.000.000 (ten billion Rupiah), but some businesses may require more. Our legal team will identify this during the establishment process.
4. Board of Director and Board of Commissioner. You need at least one director and one commissioner. They can also hold shares, but cannot be the same person.
5. Registered office address. The address must be in a commercial area.
6. Company name. The name must consist of three words.

Legal Entities for Foreigners to Set Up in Indonesia

PT PMA

A PT PMA is a limited liability company (LLC) where the majority of the shares are owned by foreigners. It is allowed to fully operate in Indonesia, such as generating revenue, hiring staff, buying property in Indonesia in the name of PT PMA company, declaring dividends, and sponsoring foreign workers to get visas and/or work permits.

KPPA (Foreign General Representative Office)

KPPA is a non-trading office that can only engage in market research, feasibility study, promotion, and other non-trading activities. It acts as a liaison of the parent company and is not allowed to generate revenue. KPPA must have a head office outside of Indonesia and a local sponsor.

KP3A (Foreign Trading Representative Office)

KP3A stands for “Kantor Perwakilan Perusahaan Perdagangan Asing”. It is established as a selling agent and/or manufacturing agent and/or buying agent. KP3A is also not allowed to generate any revenue.

BUJKA

BUJKA stands for “Badan Usaha Jasa Konstruksi Asing”. It’s for foreign construction companies that want to set up business in Indonesia. The licensing fees for BUJKA vary depending on the active business field. And the process of setting up a BUJKA is more complex than other types of representative offices.
